Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Kerna sp. z o.o. ("Kerna", "we", "us", or "our"), a company registered under the laws of the Republic of Poland, with its principal place of business in Katowice, Poland. By installing, accessing, or using the Kerna Google Workspace add-on, website, or related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By installing the Kerna add-on from the Google Workspace Marketplace, creating an account, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" shall refer to that organization.

If you do not agree to these Terms, you must not install, access, or use the Services.

2. Description of Services

Kerna is an artificial intelligence-powered productivity tool that operates as a Google Workspace add-on within Gmail. The Services enable users to perform AI-assisted email tasks including, but not limited to:

  • Generating context-aware email replies
  • Summarizing email threads
  • Translating emails to and from 45 supported languages
  • Composing new emails from keywords or bullet points
  • Extracting dates, deadlines, tasks, and contact information from email content
  • Rewriting and polishing email drafts for tone and grammar

Feature availability varies by subscription plan. Not all features are available on all plans. See Section 5 for details.

3. Eligibility

You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you are not barred from receiving services under the laws of Poland, the European Union, or any other applicable jurisdiction.

The Services require a valid Google Workspace or personal Google account. Kerna is not responsible for any restrictions imposed by Google on your account.

4. Account Registration and Security

Authentication is handled exclusively through Google OAuth (Google Sign-In). Kerna does not create, manage, or store independent passwords. Your account is identified by your Google email address.

You are responsible for maintaining the security of your Google account. You agree to notify us immediately at support@kerna.io if you become aware of any unauthorized use of your account.

Kerna shall not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your Google account credentials.

5. Subscription Plans and Payments

5.1 PlansKerna offers multiple subscription tiers: Starter (free), Standard, Pro, Business, and Enterprise. Each tier provides different feature sets, AI model access, and token allocations. Feature availability and pricing are as displayed on our website at the time of purchase.
5.2 BillingPaid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). All prices are displayed in Euros (€) and are inclusive of applicable taxes unless otherwise stated. Payment processing is handled by Stripe, Inc. By subscribing, you authorize Stripe to charge your designated payment method at the beginning of each billing cycle.
5.3 Token UsageEach subscription plan includes a fixed monthly token allocation. Tokens are consumed by AI processing actions. Unused tokens do not roll over to the next billing cycle. When your token allocation is exhausted, AI features will be unavailable until the next billing cycle begins or you upgrade your plan.
5.4 Team PlansBusiness and Enterprise plans support multiple team members sharing a common token pool. The team owner is responsible for all charges associated with the team account. Adding or removing team members does not affect the billing cycle or amount, except as specified in the plan terms.

"GPT-4" and "GPT-5" refer to the respective OpenAI model families (e.g. GPT-4o-mini, GPT-5-mini) and not exclusively to a single flagship model. Kerna selects the most appropriate model within each family based on the task type and subscription tier. The specific models used may change as OpenAI releases updates. Kerna does not guarantee access to any particular model version.

6. Free Trial and Starter Plan

The Starter plan provides limited, ongoing access to the Services at no cost. It is subject to the same Terms as paid plans. Kerna reserves the right to modify the features, token allocation, or availability of the Starter plan at any time without prior notice.

If Kerna offers a free trial of paid features, the trial period and conditions will be specified at the time of activation. At the end of a free trial, you will be automatically enrolled in the plan you selected unless you cancel before the trial period ends.

7. Cancellation and Refunds

7.1 Cancellation by YouYou may cancel your subscription at any time from the Kerna dashboard. Upon cancellation, your subscription will remain active until the end of the current billing cycle. You will not be charged for subsequent billing cycles. Cancellation does not entitle you to a prorated refund for the remaining days of the current billing period.
7.2 Refund PolicyExcept where required by applicable law, subscription fees are non-refundable. Refund requests may be considered on a case-by-case basis at Kerna's sole discretion. To request a refund, contact support@kerna.io.
7.3 DowngradeYou may downgrade your subscription at any time. The downgrade will take effect at the beginning of the next billing cycle. Upon downgrade, features exclusive to higher-tier plans will become unavailable.

8. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, national, or international law or regulation
  • Generate, transmit, or store content that is unlawful, defamatory, threatening, abusive, harassing, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Use the Services to send unsolicited bulk communications (spam)
  • Use automated scripts, bots, or other means to access the Services outside of the intended interface
  • Circumvent or attempt to circumvent token usage limits or subscription restrictions
  • Use the Services in any manner that could damage, disable, or impair Kerna's infrastructure

Kerna reserves the right to suspend or terminate your account for violation of this Section, with or without prior notice.

9. Intellectual Property

9.1 Kerna's PropertyThe Services, including all software, design, text, graphics, logos, and other materials, are the intellectual property of Kerna and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
9.2 Your ContentYou retain all ownership rights in the content you process through the Services (your emails, drafts, etc.). Kerna does not claim any ownership interest in your content. As described in our Privacy Policy, your content is processed ephemerally and is never stored.
9.3 FeedbackIf you provide suggestions, ideas, or feedback about the Services, you grant Kerna a non-exclusive, worldwide, royalty-free, irrevocable license to use that feedback for any purpose without obligation to you.

10. AI-Generated Content

Important: The AI-generated content produced by Kerna (summaries, replies, translations, drafts, extracted data) is provided for informational and productivity purposes only.

You acknowledge and agree that:

  • AI-generated output may contain errors, inaccuracies, or inappropriate content. You are solely responsible for reviewing and approving all content before sending or acting upon it.
  • Kerna does not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.
  • AI-generated translations are not certified translations and should not be relied upon for legal, medical, or regulatory purposes without independent verification.
  • Extracted data (dates, deadlines, contacts) should be verified against the source material before being acted upon.
  • Kerna is not liable for any consequences arising from your use of AI-generated content, including but not limited to miscommunication, missed deadlines, or inaccurate information.

11. Privacy and Data Protection

Your privacy is fundamental to our service. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. Key principles include:

  • Zero Retention: Email content is processed ephemerally and never stored.
  • No Model Training: Your data is never used to train AI models.
  • User-Initiated Only: All data access requires your explicit action.
  • GDPR Compliance: We operate under EU data protection regulations.

12. Third-Party Services

The Services integrate with third-party providers including Google (Workspace APIs, Firebase), OpenAI (GPT-4 and GPT-5 model families), and Stripe (payment processing). Your use of these third-party services is subject to their respective terms of service and privacy policies.

Kerna is not responsible for the availability, accuracy, or practices of any third-party service. We do not endorse or assume liability for any third-party content, products, or services.

13. Service Availability and Modifications

13.1 AvailabilityWe strive to maintain continuous availability of the Services, but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including third-party service outages (e.g., Google, OpenAI).
13.2 ModificationsKerna reserves the right to modify, update, or discontinue any aspect of the Services at any time. We will provide reasonable advance notice of material changes that negatively affect your use of the Services. Continued use of the Services after modifications constitutes acceptance of the updated Services.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Kerna does not warrant that: (a) the Services will meet your specific requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Services (including AI-generated content) will be accurate or reliable; or (d) any errors in the Services will be corrected.

No advice or information, whether oral or written, obtained by you from Kerna shall create any warranty not expressly stated in these Terms.

15. Limitation of Liability

15.1 ExclusionsNothing in these Terms shall exclude or limit Kerna's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.
15.2 Limited LiabilitySubject to Section 15.1, Kerna shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses arising from: (a) your use of or inability to use the Services; (b) any AI-generated content; (c) unauthorized access to your data; or (d) any third-party conduct related to the Services.
15.3 Liability CapIn no event shall Kerna's total cumulative liability to you exceed the greater of: (a) the amount you paid to Kerna in the twelve (12) months preceding the event giving rise to the claim, or (b) fifty Euros (€50).

16. Indemnification

You agree to indemnify, defend, and hold harmless Kerna and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you process through the Services.

17. Termination

17.1 Termination by YouYou may terminate your agreement with Kerna at any time by cancelling your subscription, uninstalling the add-on, and ceasing to use the Services.
17.2 Termination by KernaKerna may suspend or terminate your access to the Services immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) we discontinue the Services; or (d) your continued use poses a security risk to the Services or other users.
17.3 Effect of TerminationUpon termination, your right to use the Services ceases immediately. Sections 9, 10, 14, 15, 16, and 18 shall survive termination. Kerna will delete your account data within 30 days of termination, except where retention is required by law.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. The courts of Katowice, Poland, shall have exclusive jurisdiction over any disputes arising from or related to these Terms.

For EU consumers: nothing in this section limits your right to bring proceedings in the courts of your country of residence, or to benefit from any mandatory consumer protection provisions of your local law. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Changes to These Terms

Kerna reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For changes that materially affect your rights or obligations, we will provide at least 30 days' advance notice via email or prominent notice within the Services. Your continued use of the Services after the effective date of any changes constitutes acceptance of the modified Terms.
